Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“user”, “you”, “your”) and RidesBro (“we”, “us”, “our”) governing your access to and use of the RidesBro website, platform, services, systems, features, content, infrastructure, and all related components (collectively, the “Platform”), and by accessing, browsing, registering for, or otherwise using the Platform in any manner whatsoever, whether directly or indirectly, whether intentionally or unintentionally, whether as a registered user or otherwise, you hereby acknowledge, represent, warrant, and agree that you have read, understood, and agree to be bound by these Terms in their entirety, without limitation, qualification, reservation, exception, modification, interpretation, or condition, and that your continued access to or use of the Platform constitutes ongoing acceptance of these Terms as they may be amended, modified, supplemented, replaced, or updated from time to time, and if you do not agree to these Terms in full, in part, or in any interpretation whatsoever, you must immediately discontinue use of the Platform and refrain from any further access, use, or interaction; RidesBro provides a digital, web-based, communication and listing platform designed solely and exclusively to facilitate connections between individuals seeking ride-sharing opportunities and individuals offering ride availability, and does not, under any circumstances, directly or indirectly, explicitly or implicitly, act as or represent itself to be a transportation provider, carrier, broker, intermediary, agent, contractor, insurer, employer, partner, joint venture, or representative of any user, and does not own, lease, manage, operate, maintain, control, supervise, endorse, verify, or guarantee any vehicles, drivers, transportation services, routes, or travel arrangements and shall not be deemed to do so under any interpretation of these Terms, whether strict, liberal, implied, or otherwise, and all arrangements, communications, agreements, negotiations, transactions, understandings, and interactions entered into between users of the Platform are conducted solely, independently, voluntarily, and entirely between those users at their own discretion, judgment, interpretation, and risk without any involvement, participation, supervision, oversight, endorsement, verification, or guarantee by RidesBro; you represent, warrant, and agree that you possess the legal authority, capacity, competence, and eligibility to enter into binding agreements, that you will comply with all applicable laws, regulations, rules, and obligations, and that all information provided by you is accurate, complete, truthful, current, and not misleading, deceptive, or fraudulent, and you further agree that you shall not use the Platform for any unlawful, unauthorized, fraudulent, deceptive, misleading, abusive, harmful, exploitative, or otherwise objectionable purpose including but not limited to misrepresentation of identity, impersonation, posting false, inaccurate, or misleading ride listings, engaging in harassment, intimidation, abuse, exploitation, or coercion, attempting to gain unauthorized access to systems, networks, or data, interfering with, disrupting, impairing, or degrading the integrity, performance, functionality, or security of the Platform, introducing viruses, malware, or other harmful components, scraping, copying, extracting, or harvesting data without authorization, or engaging in any conduct that may directly or indirectly harm, damage, impair, or negatively affect the Platform, its users, its infrastructure, its reputation, or its operations; you acknowledge, understand, and agree that all content submitted, posted, transmitted, displayed, communicated, or otherwise made available by users including but not limited to listings, messages, profiles, reviews, ratings, feedback, and communications (“User Content”) is the sole, exclusive, and complete responsibility of the user originating such content and that RidesBro does not control, monitor, verify, endorse, validate, confirm, or guarantee the accuracy, completeness, reliability, legality, appropriateness, safety, or truthfulness of any User Content and shall not be liable or responsible for any errors, omissions, inaccuracies, misrepresentations, or consequences arising therefrom, and by submitting, posting, or transmitting User Content you grant RidesBro a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable license to use, reproduce, modify, adapt, translate, publish, display, distribute, store, cache, transmit, and otherwise utilize such content for purposes including but not limited to operating, maintaining, improving, developing, securing, optimizing, promoting, marketing, and expanding the Platform; you further acknowledge, understand, and agree that interactions with other users including but not limited to communication, messaging, negotiation, meeting in person, sharing transportation, exchanging information, exchanging goods or services, or entering into agreements or arrangements of any kind are undertaken entirely, solely, exclusively, and completely at your own risk, discretion, and judgment, and that RidesBro does not conduct background checks, identity verification, safety screening, credential verification, license verification, insurance verification, or any other form of validation and does not guarantee, represent, or warrant the identity, authenticity, reliability, behavior, conduct, legality, intentions, qualifications, or suitability of any user and shall not be responsible or liable for any injury, harm, loss, damage, dispute, disagreement, misunderstanding, misconduct, fraud, theft, negligence, accident, incident, or consequence arising out of or related to such interactions whether foreseeable or unforeseeable; you agree, represent, and warrant that ratings, reviews, and feedback must be truthful, accurate, fair, and not misleading, deceptive, or manipulative, and that you shall not manipulate, influence, distort, or attempt to manipulate or distort such systems directly or indirectly and RidesBro reserves the absolute, unrestricted, and sole right to remove, restrict, modify, or disable any content, ratings, reviews, or accounts at its sole discretion without notice, explanation, or liability; the Platform is provided on an “as is”, “as available”, and “as encountered” basis without warranties of any kind whether express, implied, statutory, or otherwise including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, availability, reliability, performance, or security, and RidesBro does not warrant, guarantee, or represent that the Platform will be uninterrupted, continuous, timely, secure, error-free, defect-free, or free of viruses, malware, or other harmful components or that any defects will be identified, corrected, or resolved; to the fullest extent permitted by applicable law, RidesBro shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages including but not limited to personal injury, bodily harm, emotional distress, property damage, loss of data, loss of profits, loss of revenue, loss of opportunity, loss of goodwill, business interruption, or any other losses arising out of, relating to, or in connection with your use of or inability to use the Platform or your interactions with other users or any content provided through the Platform even if advised of the possibility of such damages and regardless of the legal theory upon which such damages are based whether in contract, tort, negligence, strict liability, or otherwise; you agree to indemnify, defend, and hold harmless RidesBro, its affiliates, subsidiaries, officers, directors, employees, agents, contractors, licensors, and representatives from and against any and all claims, demands, liabilities, damages, losses, costs, expenses, penalties, fines, and fees including reasonable legal fees arising out of or related to your use of the Platform, your violation of these Terms, your User Content, your interactions with other users, or your violation of any applicable law or third-party rights; RidesBro reserves the right at its sole, absolute, and unrestricted discretion and without notice, obligation, or liability to suspend, restrict, limit, terminate, or otherwise modify your access to the Platform, remove or alter any content, disable accounts, or take any other action it deems appropriate in response to violations of these Terms or conduct deemed harmful, unlawful, risky, or otherwise objectionable, and further reserves the right to modify, update, enhance, degrade, suspend, discontinue, or replace any aspect, feature, functionality, or component of the Platform at any time without notice or liability; these Terms may be updated, modified, amended, supplemented, or replaced at any time and in any manner and your continued use of the Platform constitutes acceptance of such changes regardless of whether you have reviewed them; these Terms shall be governed by and construed in accordance with the laws of Canada and any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of applicable courts, and if any provision of these Terms is found to be invalid, illegal, unenforceable, or void, such provision shall be deemed severed and the remaining provisions shall remain in full force and effect, and any failure or delay by RidesBro to enforce any provision shall not constitute a waiver of that provision or any other provision; these Terms constitute the entire agreement between you and RidesBro and supersede all prior, contemporaneous, or subsequent agreements, understandings, communications, representations, or warranties whether written, oral, implied, or otherwise, and by using the Platform you acknowledge, represent, and agree that you have read, understood, and accepted these Terms in full, without limitation, and that such acceptance is a condition of your access to and use of the Platform and shall remain binding for as long as you access or use the Platform in any manner whatsoever. These Terms and Conditions (“Terms”) further apply to any viewing, browsing, loading, caching, storing, linking, sharing, copying, referencing, or other use of the Platform, whether active or passive, and any action that suggests awareness of or participation in the Platform shall be deemed use for the purpose of these Terms, and you expressly agree that the Platform may evolve, change, expand, contract, redesign, or otherwise be modified without notice and that your rights are limited to the revocable permission to use the Platform in accordance with these Terms and nothing herein shall be construed as transferring ownership, control, or entitlement in or to any aspect of the Platform, and you further acknowledge that the Platform may contain user-generated statements, implied promises, opinions, suggestions, descriptions, or representations that are inaccurate, incomplete, exaggerated, outdated, or false and that RidesBro shall have no obligation to review, investigate, correct, remove, or verify such statements unless it elects to do so in its sole discretion, and any failure by RidesBro to monitor, review, remove, or act on any content shall not be interpreted as approval, endorsement, ratification, acceptance, or assumption of responsibility, and you agree that you are solely responsible for evaluating the suitability, legality, safety, reliability, and desirability of any ride, listing, user, communication, or arrangement and for taking any precautions you deem necessary or appropriate including but not limited to verifying identity, confirming route information, checking vehicle condition, communicating with other parties, avoiding unsafe situations, and discontinuing contact where you have concerns, and you agree that RidesBro shall not be liable for any failure by you or any other person to exercise care, caution, judgment, common sense, or due diligence, and you further agree that any expectation that the Platform will prevent undesirable outcomes, filter all bad actors, guarantee compatibility, or produce any specific result is unreasonable, unsupported, and expressly disclaimed; without limiting any other provision of these Terms, you agree that any dispute, complaint, claim, or allegation arising out of or related to your use of the Platform, any content on the Platform, or any interaction with another user shall be handled by you directly with the relevant user or party unless otherwise required by law, and RidesBro shall have no duty to mediate, arbitrate, negotiate, intervene, investigate, or resolve such dispute, although it may choose to do so in its sole discretion without thereby assuming any duty, liability, or ongoing obligation, and any voluntary action by RidesBro to review a report, remove content, suspend access, or communicate with users shall not create any fiduciary duty, special relationship, advisory role, protective undertaking, or representation that similar action will be taken in any other case, and you expressly waive any argument to the contrary; you also acknowledge and agree that the Platform may from time to time contain bugs, design flaws, downtime, outages, inconsistencies, display issues, delayed data, missing data, corrupted data, security issues, or functionality that does not perform as expected, and you assume all risk arising from or related to such conditions and agree that RidesBro shall not be liable for any consequence, reliance, damage, or loss associated therewith, including but not limited to missed opportunities, failed communications, lost listings, duplicate listings, confusion regarding routes, scheduling conflicts, messaging delays, or inability to access your account or content; you agree that RidesBro may preserve, log, review, use, or disclose information related to your use of the Platform as necessary to operate, secure, maintain, improve, investigate, or protect the Platform, to enforce these Terms, to comply with applicable law, or to protect the rights, property, or safety of RidesBro, its users, or others, and you acknowledge that nothing in these Terms shall be interpreted to require RidesBro to disclose internal processes, moderation criteria, security methods, monitoring practices, or operational decisions, and any such matters shall remain confidential and proprietary to RidesBro to the fullest extent permitted by law; you further acknowledge that some features of the Platform may depend on third-party technologies, networks, services, libraries, browsers, devices, operating systems, APIs, hosting providers, authentication systems, or other external dependencies and that RidesBro does not control and shall not be responsible for the availability, performance, security, compatibility, or continued operation of such external dependencies, and any interruption, degradation, failure, or discontinuation thereof may affect the Platform without giving rise to any liability on the part of RidesBro; you agree that any permission granted to you under these Terms is personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable, and that you shall not copy, duplicate, mirror, frame, republish, scrape, harvest, reverse engineer, disassemble, or otherwise attempt to derive source code, structure, or underlying ideas from any portion of the Platform except to the limited extent such restriction is prohibited by applicable law, and even in such case your rights shall be limited to the minimum extent legally required; by continuing to access or use the Platform you reaffirm your agreement to these Terms each time you do so, and if at any time you do not agree, your sole remedy is to stop using the Platform immediately, and you acknowledge that your continued use after any change, update, correction, or revision of these Terms constitutes fresh and renewed acceptance of the Terms as revised, whether or not you have received notice or read the revised version.
